Terms and Agreement
Definition
“Agreement” means this legally binding contract between the Company and the Client governing the use of the Service.
“Service” means any service offered by the Company and listed on the Company website.
“Company”, “We”, “Us”, “Our” all refer to impifi company
“Client”, “You”, “Your” refer to the individual or entity purchasing or using the Service.
“Sketch Design” means the preliminary concept sketches created during the initial stage of the design process.
“Initial Design” means the first created design after reviewing Your description, contract conditions and selected Sketch Design.
“Final Design” means the completed design ready for delivery
“Cut Video” means an edited video where Your provided footage has been arranged in a timeline without transitions, text edits, color/light correction, video effects, or additional sound effects or music
“Order Confirmation” means a confirmation notice to Your selected service package found in your Complete Order.
“Complete Order” means the document sent via email containing the Order Confirmation, contract, and payment invoice.
“Process Confirmation” means confirmation that all required materials and procedures from You have been received and that the service process may begin.
“Completed Order” means confirmation issued by Us indicating that the service has been completed and delivered.
2. Agreement
To purchase any Service you have to accept this Agreement, and you represent & warrant that you have the right, authority, and capacity to enter into this Agreement. So please read all terms and conditions carefully before you proceed.
You may not use Our Service if you are not at least 18 years old.
If you do not agree with all of the provisions of this Agreement, We cannot provide service to You.
3. Delivery
The Complete Order, including the Order Confirmation, contract, and invoice, will be sent to the email address previously used for communication unless otherwise specified.
The estimated turnaround time, starting from the date of Process Confirmation is up to fourteen (14) days for Designs
The Service will begin once both of the following conditions are fulfilled:
Receipt of the signed contract via email to info@impifi.com, and
Successful payment to the bank account specified in the invoice, and
All material, description and information required for a start have been provided
The processing time will begin from the date on which the last of these conditions has been fulfilled.
Upon delivery of the Final Design and confirmation of receipt by the Client, the Service shall be considered supplied. Ownership of the Final Design transfers to You only after full payment has been received.
Delivery times may vary depending on:
the nature and complexity of the Service,
Your timely provision of required materials or feedback,
and the date of the Order Confirmation.
If no communication is received from You for fourteen (14) consecutive days, the project may be temporarily suspended and archived. To resume the project, a reactivation fee of €25 may apply.
If no communication or feedback is received for thirty (30) consecutive days, the project may be considered closed and completed, and the Company shall not be liable for further modifications or changes.
impifi reserves the right to display delivered Final Designs in its portfolio and use them for marketing or promotional purposes.
If the Client does not wish their project to be displayed, they must notify the Company in advance or request removal by contacting info@impifi.com.
4. Quality Assurance
We make reasonable efforts to meet Your requirements and expectations. Designs are created based on research and industry standards to ensure quality and originality. However, creative services are subjective and absolute satisfaction cannot be guaranteed.
5. Revision Policy
The number of revisions included in the Service depends on the selected package. You may request revisions up to the number specified in the package details without additional cost
Revisions refer to minor modifications to the selected design concept, such as adjustments to colors, typography, layout, or other small visual elements. Revisions do not include the creation of new design concepts.
Any revision requests exceeding the number included in the selected package will be charged €10 per additional revision.
Once the Final Design has been approved or delivered, any further changes will be treated as a new order and billed separately.
6. VAT-Free
All prices stated in this Agreement are final prices.
impifi operates under the small business regulation according to §19 UStG (German Value Added Tax Act).
Therefore no VAT is charged or shown on invoices.
The Client is responsible for any taxes or duties required in their jurisdiction.
7. Billing
For all Designs purchased via a package selected from our website You will pay the amount in full before any work begins
Standard payment procedure will follow with a SEPA credit transfer to the provided banking account found in the invoice that comes with Your Complete Order
If you reside in a SEPA free country the payment will go through squarespace payment processor and any of their provided payment methods (this includes afterpay, apple pay, google pay, Visa, Mastercard, AMEX, Discover, UnionPay, JCB, ACH Direct Debit, mobile wallets, Klarna, iDeal) may be viable
8. Payment Disputes and Chargebacks
The Client agrees to contact impifi directly to resolve any payment issue before initiating a chargeback or dispute with their payment provider.
Once the Service has been delivered, the payment shall be considered final. Initiating a chargeback after delivery may constitute a breach of this Agreement.
In the event of a chargeback, impifi reserves the right to recover any associated fees or damages through appropriate legal channels.
If a chargeback occurs, any license or rights to use the delivered work are immediately revoked until the matter is resolved.
9. Waiver of Withdrawal Right
I expressly agree that impifi may begin providing the service before the withdrawal period expires. I acknowledge that I lose my right of withdrawal once the service has begun.
10. Refund Policy
If a refund request is made before the Sketch Design stage, the Client may be eligible for a refund of up to 80% of the package price.
If a refund request is made before delivery of the Initial Design, the Client may be eligible for a refund of up to 60% of the package price.
If a refund request is made before delivery of the Final Design, the Client may be eligible for a refund of up to 30% of the package price.
No refunds will be issued:
after the Final Design has been delivered
No refunds will be issued once revisions have been requested and implemented
if delays or issues arise due to incomplete or inaccurate information provided by the Client
Or if We have not been contacted for more than 2 weeks after a Design.
Reasons such as ‘change of mind’, ‘disagreement with partner’ or other reasons that do not pertain to the Service will not be subject to refund under any circumstances.
If a refund is issued, You shall not obtain any rights to use any Designs or materials created by impifi. All intellectual property rights remain with Us.
11. Communication
The Client agrees that impifi shall not be responsible for any correspondence originating from email addresses, phone numbers, or other contact details that are not officially listed on the impifi website unless they have been provided through Our official email address. We shall not be held liable for any damages resulting from such unauthorized communications.
By providing your email address and/or mobile phone number, you consent to receive communications from Us. These communications may include transactional messages, project updates, service notifications, newsletters, and delivery communications such as design files, revision updates, and project progress reports.
Carrier Charges Disclosure: Standard messaging and data rates may apply. Please consult your mobile service provider for details.
We will make reasonable efforts to limit communications to an appropriate frequency. However, additional communications may be necessary during active project stages or for urgent notifications.

12. Client Content
The Client represents and warrants that they own or have obtained all necessary rights, licenses, and permissions for any content submitted to impifi, including but not limited to images, videos, text, logos, music, sound effects and other materials (“Client Content”).
You grant Us a non-exclusive, royalty-free license to use, copy, modify, store, and display the Client Content solely for the purpose of providing the requested Services.
The Client retains full ownership of all rights to their Client Content.
We reserve the right to refuse any content that is unlawful, offensive, or violates intellectual property rights.
impifi respects the intellectual property rights of others and will respond to valid copyright infringement notices in accordance with applicable law.
13. Record Retention
We may retain copies of finalized designs and project files for archival purposes. This allows the Company to provide replacement copies of delivered files in case they are lost by the Client. However, impifi does not guarantee indefinite storage of project files.
14. Intellectual Property
All designs remain the intellectual property of impifi until full payment has been received.
Upon full payment, ownership of the Final Design transfers to the Client.
impifi retains the right to display the work in its portfolio unless otherwise agreed.
15. Limitation of Liability
To the maximum extent permitted by law, impifi shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Services.
impifi’s total liability shall not exceed the total amount paid by the Client for the Service.
14. Anti-Discrimination Policy
impifi does not support or tolerate the use of any Designs, Edited Videos or other Service in a manner that promotes discrimination, harassment, or harm toward individuals or groups based on race, religion, gender, sexual orientation, age, disability, ancestry, or national origin.
impifi reserves the right to refuse or terminate any project that involves discriminatory, hateful, or unlawful content.
15. Indemnification
The Client agrees to defend, indemnify, and hold impifi harmless from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
any Client Content provided to Us,
or any violation of this Agreement by the Client.
16. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany.
17. Notification of Changes on Terms
impifi reserves the right to modify this policy at any time. Any changes will be posted on our website, and it is your responsibility to review these changes.
